The owner of the Seattle-based Eddie Bauer brand is teaming up with JCPenney to form a new fashion and apparel retailer.
Catalyst Brands will combine JCPenney and its assorted clothing labels with those of SPARC Group, which includes Eddie Bauer, Aéropostale, Brooks Brothers, Lucky Brand and Nautica, according to a release.
The new company launches with more than $9 billion in revenue, 1,800 store locations, 60,000 employees and $1 billion of liquidity and is poised to generate significant strategic and operational value.
Marc Rosen, formerly the chief executive officer of JCPenney, has become CEO of Catalyst Brands. The combined organization is a joint venture formed in an all-equity transaction between JCPenney and SPARC Group, with shareholders Simon Property Group, Brookfield Corporation, Authentic Brands Group and Shein.

Simon Property Group is the owner and operator of Columbia Center mall in Kennewick. JCPenney is one of the mall’s anchor tenants, and Eddie Bauer also maintains a store in the mall.
